Assaubayev Family on the transactions and settlement with Polyus Gold and KazakhGold: advising as to the disputes and transactions with Polyus Gold, KazakhGold and their affiliates; drafted and negotiated the initial Memorandum of Understanding (18th September 2010), the Principal Agreement and the subsequent Restated and Amended Principal Agreement (11 April 2011), all detailed transaction documents, as well as the an all-party Settlement Deed, signed in connection with the purchase by the Assaubayev Family of all of the Russian Group's gold mines and assets in Kazakhstan, Kyrgyzstan and Romania and relating to certain debt for +/- US$800m, as to the reverse take-over by Polyus of KazakhGold through the injection of its Russian gold-mining businesses and assets, and whereby all proceedings brought by KazakhGold and its affiliates against members of the Assaubayev Family in London, BVI, Jersey, Guernsey and Switzerland, were settled and all freezing, disclosure and other orders released; Major Mining Company: acting as to a potential US$1billion acquisition in the uranium sector of Kazakhstan; Major Financial Institution: advising on the due diligence of, regulatory, compliance, contracts and other issues relating to the proposed sale of one of the largest commercial banks in Kazakhstan, together with Linklaters in Hong Kong and London; Marubeni Corporation, the Tokyo Electric Power Company and Chubu Electric: advising as to acquisition of participatory interests in Kharassan-1 and Kharassan-2 uranium deposits and exploration areas in Kazakhstan; GL Investments Limited: advising as to the structuring and acquisition of various oil and gas (Tenge, Kamenistoye, Alakol, Zhalgistobe) deposits and various hard-rock and alluvial gold mining interests in Kazakhstan; Hambledon Mining PLC: advising in relation to an acquisition Akmola Gold LLP and the Tellur and Stepok gold mines in Kazakhstan, and the structuring and financing of the same; Falck Group A/S: advice as to their business in Kazakhstan and potential involvement with the National Medical Holding Company of Kazakhstan, and as to the acquisition, restructuring and development of a business with a local partner in Azerbaijan.
