Biography

Joel Todd is a member of the Corporate Practice in Greenberg Traurig’s Fort Lauderdale office. Joel focuses on capital markets, securities law, and corporate governance matters. He counsels clients on federal and state securities laws, national securities exchange rules, and executive employment matters. Joel represents public companies in SEC filings, including Section 13 and Section 16 filings.

Joel handles various capital-raising transactions, including private placements, tender offers, and at-the-market equity sales programs. He has represented clients in reverse stock splits, stock exchange transfers, and private investments in public equity. Joel also advises on Exchange Act registration and de-registration matters.

Capital Markets Experience

• Represented Benson Hill, Inc. (NASDAQ: BHIL) in connection with a reverse stock split and a transfer from the New York Stock Exchange to the Nasdaq Stock Market.°

• Represented Profrac Holding Corp. (NASDAQ: ACDC) in connection with a $50 million private investment in public equity via a new class of convertible preferred stock.°

• Represented China Petroleum in connection with a Form 20-F filing, related SEC comment response letters and ultimately Exchange Act de-registration based in part on PCOAB findings regarding the Holding Foreign Companies Accountable Act.°

• Represented the majority shareholders of Invacare, a medical equipment manufacturer, in a refinancing and restructuring.°

• Represented Thunder Power Holdings, a Hong Kong-based premium electric vehicle (EV) manufacturer, in its $400 million merger with Feutune Light Acquisition, a publicly traded SPAC (special purpose acquisition company).°

• Represented Upland Software Inc. (NASDAQ: UPLD) in connection with a $115 million investment from a private equity firm in the form of a new class of convertible preferred stock.°

• Represented the Federal National Mortgage Association (Fannie Mae) in connection with fixed-price cash tender offers for various series of outstanding notes with an aggregate amount tendered of over $14 billion.°

• Represented the Chemours Company (NYSE: CC) in connection with its $650 million private offering of senior notes, its concurrent tender offer for a series of outstanding senior notes and redemption of any such notes remaining outstanding following its tender offer.°

• Represented SoftBank Group Corp. in connection with Schedule 13Ds and 13Gs for affiliated investment vehicles.°

• Represented various real estate investment trust (REIT) clients in connection with setting up and maintaining at-the-market (ATM) equity sales programs.°
