Experience: Representative Matters: Represented the Geo L. Smith, II Georgia World Congress Center Authority, as special counsel, in the financing of a $500 million hotel project on the Georgia World Congress Center Authority (GWCCA) campus, the selection of the hotel operator and the negotiation of the hotel management agreement and the development, design and construction agreements. The project consists of a 975-room full service Signia by Hilton hotel, which will overlook Mercedes-Benz Stadium in Atlanta, Georgia.; Represented ownership in connection with the development and financing of Stanly Ranch - Auberge Resorts Collection Resort and Residences, Napa Valley, including the negotiation of the hotel management agreement and all related hospitality agreements related to the resort and affiliated branded residences.; Represented owner of Hearst Hotel in San Francisco in the negotiation of the hotel management agreement and related hospitality agreements with Auberge Resorts.; Represented ownership in connection with the acquisition, repositioning and management of the Wyndham Palmas Puerto Rico Beach Resort and Wyndham Grand Rio Mar Puerto Rico Golf & Beach Resort, including negotiation of hotel franchise and management agreements.; Represented, as part of a team, Anbang Insurance Group Co. in both the acquisition of the Waldorf Astoria New York Hotel from Hilton Worldwide Holdings Inc. and a long term hotel management agreement and related agreements with Hilton.; Represented owner in connection with the acquisition and development of a $625mm+ mixed use, opportunity zone project consisting of 3 multi-family residential towers, ground floor retail, a future hotel tower and shared garage and other common elements.;
