Biography

Norman Greenspan concentrates his practice in general and commercial litigation matters, and civil, criminal, and administrative government investigations. He serves a wide range of clients in areas such as:

Mr. Greenspan was an assistant U.S. attorney with the Special Prosecutions Division of the White Collar Crimes Unit, U.S. Department of Justice, and a trial attorney with the Antitrust Division of the U.S. Department of Justice.

He is an adjunct professor of law at Temple University School of Law, where he teaches courses in trial advocacy and civil procedure. Mr. Greenspan is also a faculty member at the National Institute of Trial Advocacy and the Practicing Law Institute.

Representative Matters

· Audit committee of a publicly held company in conducting an internal investigation in response to an SEC investigation into improper revenue recognition practices, resulting in a decision by the SEC to take no action against the company, or any of its officers or directors

· Chemical manufacturer and its president in defending against alleged criminal violations of federal regulations involving hazardous substances, which concluded with the court dismissing the indictment before trial on a motion to dismiss

· Publicly held defense contractor in a civil action against the seller for breaches of representations and warranties in an asset acquisition agreement, resulting in jury verdict for the firm's client

· Publicly held company acting as general partner in a limited partnership in a lengthy arbitration proceeding where the claimant limited partner was seeking damages for fraud, breaches of fiduciary duty and breaches of contract against the general partner of the limited partnership, with the result of no money damages for the claimant

· Publicly held company in a federal environmental case seeking participation in the reimbursement of costs for cleaning-up Humboldt Bay in Eureka, California, from pollution allegedly caused by the use of land adjoining Humboldt Bay by the client, resulting in a nuisance damages settlement

· Publicly held company in an investigation by the U.S. Department of Justice into allegations of violations of the federal false claims act for billings improperly submitted to and paid by the U.S. Government, resulting in a nominal settlement and extension of the contract to provide services to the U.S. Government

· Electrical contractor in an arbitration claim against the defense contractor who operates the U.S. Navy base in Guam, with an arbitrator award for the electrical contractor on each claim in the proceeding

· Shareholder in a dispute with other shareholders in a privately held company resulting in the successful acquisition of controlling shares in the company

· Bondholders' committee in bankruptcy proceeding opposing sale of subsidiary by debtor-in-possession, resulting in the court rejecting the proposed sale and prompting a bidding war that increased the sale price of the subsidiary.

Community Service & Affiliations

Mr. Greenspan is a member of the Board of Directors of Center School, a non-profit private school in Roslyn, Pennsylvania, that provides specialized education for children with reading and learning disabilities. He was an organizer and officer of the Susquehanna Woods Civic Association.
