Pallav Raghuvanshi

Pallav Raghuvanshi focuses his practice on U.S. and international tax matters, with a particular emphasis on mergers and acquisitions, private investment funds, corporate restructurings, and emerging technologies such as blockchain. He regularly advises public and private companies on the tax aspects of complex cross-border M&A transactions, including taxable and tax-free acquisitions, spin-offs, and reorganizations. His work includes structuring strategies involving foreign tax credits, tax treaties, holding companies, and controlled foreign corporations.

Pallav has significant experience advising on the formation, structuring, and operation of private investment funds, including private equity and venture capital funds. He counsels both U.S. and non-U.S. fund sponsors and investors, ranging from taxable and tax-exempt institutions to sovereign wealth funds and qualified foreign pension funds, on international tax considerations and inbound investment strategies.

He also advises clients on U.S. inbound tax planning, including foreign investment in U.S. real estate, securities, and business operations. In addition, Pallav regularly counsels on domestic and cross-border debt restructurings and bankruptcy-related tax issues for both creditors and debtors.

Pallav’s practice further includes advising on tax considerations related to blockchain transactions and digital assets, including cryptocurrencies, where he helps clients navigate evolving regulatory and tax frameworks across jurisdictions.
