Biography

Peter H. Lieberman is a founding member and Co-Chair of the Firm’s Private Equity Practice. He previously served as Deputy Co-Chair and later Co-Chair of the Global Corporate Practice. With more than 35 years of experience, Peter advises clients on sophisticated matters, including mergers and acquisitions, private equity and management buyouts, public company and hedge fund transactions, structured equity and hybrid capital matters, start-up and venture capital financings, and complex securities trading and structuring.

Peter has a particularly strong emphasis on representing private equity funds in complex transactions. Such funds have included Arlington Capital, Brentwood Associates, Hilco Global, Red Arts Capital, Rotunda Capital, Vista Equity Partners, Washington Equity, among others. He also has regularly acted for management teams and founders in their most significant transactions, and for hedge funds in their complex investment transactions.

Throughout his career, Peter has served as a trusted advisor to management teams, private equity firms, boards of directors, special committees, and controlling interest holders on issues of change-of-control, conflicts, governance, investment, and other complex strategic issues. His industry experience spans technology, software, health care, consumer products, education, manufacturing, financial services, and industrials, among others.

Peter trained at the New York law firm of Wachtell, Lipton, Rosen & Katz, where he was involved in both hostile and negotiated transactions, including proxy contests and the implementation of takeover defenses. In 2026, Peter was named one of 20 attorneys from leading law firms across the country to Counsel Collective's “Leaders to Watch: Private Equity, Venture Capital & Finance” list, where he was described as 'a senior anchor of the firm's sponsor work.' In Chambers USA (2022), clients described him as “an extraordinary attorney” and “simply amongst the finest attorneys and providers of legal and commercial judgment I have ever worked with,” praising his “highest levels of sophistication, service, and commercial awareness.”
