Biography

Peter J. Lively is an associate in the Corporate & Securities Practice Group. Peter represents both public and private companies in a variety of matters, focusing on acquisitions and divestitures, public company securities compliance and corporate financing.

Peter is also a member of the firm's Summer Committee.

In General. Peter earned his bachelor's degree in 2004 from the University of Notre Dame. He received his J.D., magna cum laude, from the University of Notre Dame Law School where he was the production editor of the Notre Dame Law Review.

Representative Matters

· Represents a publicly traded insurance company with respect to federal securities law compliance and financing, strategic and general corporate matters, including a recent $290 million private placement of common shares and warrants.

· Represented a publicly traded insurance company in a $250 million acquisition of a publicly traded insurance company.

· Represented a consortium of investors in bid to acquire a publicly traded reinsurance company having a market capitalization in excess of $3.0 billion.

· Represented multiple borrowers in establishing credit facilities.

· Represents a national bank as agent for multiple syndicated credit facilities.

· Represented a publicly traded insurance company in a private placement debt exchange offer.

· Represented a privately held media company in a $55 million sale.
