Biography

Rafal Kulpa focuses his practice on administrative law, in particular energy law, environmental law and the investment process. As part of his practice, he has provided legal assistance to entities with leading positions in the manufacturing, energy and mining sectors. He has experience in advising on investment and infrastructure projects, real estate transactions, and estimating regulatory risks associated with M&A transactions.

Experience: Representative Matters: Advised mBank S.A. and Bank Pekao S.A. on the regulatory aspects of the financing provided to Mashav Hama Sp. z o.o. for the construction of an 81.7 MW photovoltaic farm in Poland and conducted project due diligence to support the financing process.; Conducted due diligence for mBank S.A. in connection with the PLN 118 million refinancing of 3 renewable energy projects in Poland developed by European Energy.; Advised Groupe VALOREM in connection with the signing of a co-development agreement with Triobud Investments Sp z o.o. for two hybrid onshore wind and solar PV projects in Poland.; Advised Invesco Real Estate in connection with the negotiations and signing of four corporate power purchase agreements (cPPAs) with Polenergia Sprzedaz, a leader on the Polish renewable energy market, for the supply of green energy with guarantees of origin to prestigious commercial properties situated in Warsaw, Krakow and Poznan.; Participated in the work for VALOREM in connection with the signing of a cooperation agreement with T&T PROENERGY for the development of photovoltaic projects with a capacity of over 300 MW in Poland.; Participated in the due diligence of environmental aspects as part of a proposed acquisition of a major manufacturing company in the packaging industry.; Participated in litigation involving real estate and owned transmission infrastructure on behalf of a leading entity in the energy industry.; Advised on the investment process and represented a developer in the housing industry in administrative and administrative court proceedings (involving entities opposing the investment process).; Drafted due diligence reports for merger and acquisition transactions.; The above representations were handled by Mr. Kulpa prior to his joining GREENBERG TRAURIG Nowakowska-Zimoch Wysokinski sp.k.
