Biography

Ruth Guo focuses her practice primarily on middle market finance transactions representing domestic and foreign banks, other nonbank financial institutions, second lien and mezzanine lenders, as well as sponsors and borrowers, in structuring, negotiating and documenting revolving and term loan facilities, senior and subordinated debt transactions, cash flow and asset-backed financings, secured and unsecured lending, intercreditor arrangements, acquisition financings and subscription credit facilities. She regularly provides counsel on secured transactions/UCC Article 9 issues and creditor’s rights. Ruth also has wide-ranging experience in structured finance including warehouse facilities, securitization (both public offerings and private placements) and repurchase arrangements with a broad range of underlying assets, such as residential mortgage loans, commercial mortgage loans, single-family rental properties, auto loans, servicing rights, credit card receivables, equipment, and trade receivables.
