Samuel (“Sam”) DeStefano is a dedicated business and corporate
attorney with a strong focus on serving closely held businesses and
their leadership teams across a wide range of industries, as well as
real estate transactions, including purchases, sales, leasing, and
financing. Sam works with and advises clients on various matters and
transactions throughout the business lifecycle including business
formation, ownership structure, corporate governance, investment
opportunities, mergers and acquisitions, joint ventures, employment,
service and contractor agreements, and succession planning. He is
well-versed in drafting and negotiating complex commercial agreements
and regularly guides clients through the due diligence and regulatory
compliance process, including licensing with state and local agencies.
Sam has practice experience in corporate and commercial transactions for a
variety of clients ranging from startups to established companies and
nonprofit organizations. Throughout his practice, he has drafted a wide
array of agreements—ranging from shareholder, limited partnership and
operating agreements, to asset purchase, stock purchase, membership
interest purchase and award agreements. Sam has prepared an array of
financing agreements and instruments, including promissory notes,
mortgages, and security agreements, as well as, license agreements,
residential and commercial leases, and estate planning instruments for
business succession planning.
Known for his meticulous approach and commitment to client service,
he continues to build a practice rooted in trust and strategic counsel
with his clients’ short-term and long-term business goals always in
mind.
Sam earned his Juris Doctor from the University of Pittsburgh School
of Law, where he was a Dean’s Scholarship recipient and served as a
Legal Writing Teaching Assistant and Associate Editor of the
Pittsburgh Tax Review. He received his Bachelor of Business Administration,
magna cum laude, from Temple University.
