Biography

Stephen R. Goler is Co-Chair of the Private Funds Group and a member of the firm’s Global Real Estate Practice. He advises clients on the formation and operation of real estate investment funds and single-asset and programmatic joint ventures, as well as on acquisitions and dispositions, development matters, and financings.

His fund experience spans the full lifecycle of private real estate funds, from structuring and formation through governance and dissolution, and includes strategies focused on multifamily, student housing, industrial assets, credit, opportunity zone investments, and GP sponsor interests. Stephen is experienced in structuring investments to minimize tax leakage, including through the use of blocker structures and REITs for cross-border and tax-exempt investors.

Stephen represents investors, sponsors, developers, and operators in sophisticated commercial real estate matters, enabling him to align fund and joint venture structures closely with underlying deal execution.
