Steven M. Dallas

Steven M. Dallas concentrates his practice on commercial litigation. He is experienced in litigating partnership and shareholder disputes, breach of fiduciary duty actions, breach of contract actions, lien enforcement and foreclosure actions, bankruptcies and other commercial matters.

This experience includes representing minority shareholders in actions to recover damages caused by the oppressive conduct of officers and directors, defending business owners from lawsuits by co-owners challenging their business decisions, and protecting business owners from lawsuits brought to pierce the corporate veil and impose personal liability for the debts of the business.

Steven has also defended bank directors against claims for breach of fiduciary duty brought by the FDIC. He has represented professionals in contract disputes with their employers, and he has represented individuals in claims for professional negligence against their once-trusted advisors. He has litigated restrictive covenant disputes on behalf of both employers and employees. He has defended employers against claims brought by employees under the Fair Labor Standards Act, Title VII of the Civil Rights Act of 1964 and the Illinois Human Rights Act, and has also brought claims on behalf employees under labor and employment laws.

Steven has experience in all stages of court proceedings, including trial. He has obtained verdicts in several commercial disputes, including a judgment in excess of $5,000,000.00 against a corporate director and majority shareholder for breach of fiduciary duty. His experience is not limited trial court proceedings; he has also won multiple appeals in the Appellate Court of Illinois.
