Biography

Nayef Andrabi advises technology companies on commercial contracts, SaaS and cloud agreements, IP licensing, and the technology and data components of mergers and acquisitions. He works with software and SaaS providers and other data-driven businesses, and also counsels on privacy, cybersecurity, and AI governance. His background includes both outside counsel and in-house roles for a loan servicing software company.

Nayef drafts and negotiates enterprise SaaS agreements, software licenses, and a range of commercial and vendor contracts. He structures data rights, ownership, and use provisions; aligns agreements with IP and data protection requirements; and works with product, engineering, and DevOps teams to support product development and feature rollouts.

On data protection and AI, Nayef develops contract terms and program frameworks that address CCPA, GDPR, HIPAA, and emerging U.S. state privacy laws. He builds AI data governance and ethics provisions into product and commercial agreements and prepares cybersecurity terms for cloud services and vendor relationships.

In corporate transactions, Nayef handles technology and IP due diligence, negotiates IP and commercial terms in acquisition and investment agreements, and coordinates integration of IP and data assets. He led diligence on transactions exceeding $1 billion and negotiated and closed more than $400 million in technology deals.

• Represented Henkels & McCoy Group, Inc., a large U.S. private electrical power transmission and distribution utility services firm, in its US$600 million acquisition by MasTec, Inc.°

• Represented Revision Skincare and Goodier Cosmetics (collectively, Revision Goodier), a portfolio company of RoundTable Healthcare Partners, in its sale to Gryphon Investors.°

• Represented Accelera by Cummins, a business unit of Cummins Inc. (NYSE: CMI) in its joint venture with Daimler Truck, PACCAR, and Eve Energy Co., Ltd. to manufacture battery cells for electric commercial vehicles.°

• Represented nCino in its definitive agreement to acquire SimpleNexus in a stock and cash transaction valued at approximately US$1.2 billion.°

• Represented Placer.ai, a geolocation and proximity data analytics technology startup, in its US$100 million Series C financing.°

• Represented Avid Technology, Inc. (NASDAQ: AVID) in its all-cash US$1.4 billion acquisition by an affiliate of STG, inclusive of Avid’s net debt.°

• Represented Sixth Street Growth in its Series A investment in Logile, Inc., a provider of retail labor.°

• Represented Guaranty Federal Bancshares, Inc. in its sale to QCR Holdings, Inc.°

• Represented a major airline in its strategic partnership with mobility service providers.°
