Biography

Thomas A. Conlon, Jr., is the Chair of Hinman, Howard & Kattell’s Pension and Employee Benefits Practice Group. Tom is extensively experienced in the design of employee pension and welfare benefit plans, and in matters concerning executive compensation.

Tom represents a varied list of clients, including financial service companies, utility companies, and tax-exempt organizations and also represents individual executives in executive compensation matters. Tom advises clients concerning plan compliance and operation, plan amendments, and plan terminations. He also handles all types of executive compensation arrangements and the creation, funding, operation, and termination of Employee Stock Ownership Plans. He has provided guidance on employee benefit and plan issues to clients facing downsizing, lay-offs, mergers, and acquisitions.

Tom has also been extensively involved in the negotiation and closing of tax free mergers, acquisitions and reorganizations, taxable stock and asset acquisitions and sales, private offerings of stock, project and asset-based financing, and investment capital infusions. Tom has advised the firm’s clients regarding the legal aspects of forming their businesses and all aspects of the day-to-day operations and management activities thereafter. He also assists with litigation arising under the Employee Retirement Income Security Act.

Tom is a frequent speaker on a wide variety of pension and employee benefits law, including COBRA continuation coverage issues, and compliance with Section 409A of the Internal Revenue Code of 1986, as amended.

Tom has served the United Way of Broome County in a number of capacities and chairs the firm’s fundraising efforts for the United Way. He has also served on the board of Johnson City Dollars for Scholars, Inc., a nonprofit 501(c)(3) group that provides college scholarships for seniors at Johnson City High School.
