Vincent T. Donohue

Since 1998, Vince Donohue has advised clients on all matters related to business and real estate, including business formation, equity structuring and recapitalization, owner relationships, debt and equity investments, taxation, employment issues, leases and related financing arrangements, real estate transactions and dispute resolutions involving all of the foregoing.

Vince serves as partner and chairman of the Business & Real Estate Group and is a member of Lamb McErlane’s Executive Committee.

In addition to fulfilling the “outside general counsel” role for many clients, Vince’s recent experience includes representation involving:

• a client in the communications industry in connection with a $1.2 billion sale of stock by its shareholders;

• workout and restructuring of distressed real estate investments;

• the Housing Authority of the County of Chester’s restructuring and refinancing of several mixed-finance affordable housing projects;

• a closely held business in the creation, structuring and implementation of a business succession plan for its family member shareholders;

• the creation and structuring of an employee stock option plan for key executives;

• an operator of early childhood learning centers in a dispute with a landlord that was resolved by the acquisition of the subject real estate from the landlord.

As a former tax consultant with Ernst & Young, LLP, Vince provided tax consulting and advisory services for transactions involving many Fortune 500 companies.
