Biography

Yulin Wu represents health care practices and private equity firms in selling and acquiring businesses. She structures deals to comply with health care regulations, including drafting and negotiating asset purchase agreements, stock purchase agreements, management services agreements, and other ancillary documents. She also conducts the due diligence process. Her experience also includes immigration, intellectual property, and labor and employment law.

Representative Matters

• Represented a Florida surgery center in a $55 million equity interest sale to a health care joint venture.°

• Represented a Florida dermatology practice in a $14 million asset sale and rollover equity to a private equity backed company.°

• Represented a Florida oral surgery profession association in a $8.5 million equity interest and asset sale and rollover equity to a nationwide oral surgery practice in a friendly physician model.°

• Represented a Florida veterinary practice in a $6 million asset sale to a nationwide veterinary company.°

• Represented a Georgia nephrology practice in a $2.5 million asset sale and rollover equity to a strategic buyer.°

• Represented a Florida dermatology practice in a $2.2 million asset sale and rollover equity to a private equity backed company.°

• Represented a Florida company in selling a $2.5 million real-estate.°

• Represented a Florida radiology practice in (i) acquiring 100% equity interest of a Florida radiology practice in the amount of $6.3 million, (ii) acquiring equity interest and asset of a Texas professional association in a friendly physician model in the amount of $1 million, (iii) acquiring asset of a Florida radiology practice in the amount of $0.5 million.°

• Represented a Delaware private equity company in acquiring medical equipment repair services companies with rollover equity options in Texas, Ohio, Tennessee, Indiana and Florida, and obtaining debt financing in the total amount of $19 million.°

• Represented a Florida pain management practice in acquiring three pain asset management practices throughout Georgia and Florida.°

• Represented a 50% owner of five Georgia entities in a $7.5 million buy-out of the other 50% owner of the entities.°

• Merged three Florida professional associations into a Florida LLC. °
