Our preeminent capital markets practice has been at the cutting edge of securitization since its inception and our attorneys have securitized virtually every conceivable asset type.

In particular, our team of experienced securitization attorneys act on conduit and term auto ABS transactions across Europe and in the United States. We represent issuers, underwriters, arrangers and investors in connection with the financing of retail and commercial auto loans and leases, dealer floor-plan receivables, equipment leases and loans, and rental car transactions.

Our experience places us at the forefront of the latest developments. We have significant knowledge of the commercial and legal aspects of the underlying financial assets, whether acting on established programs or structuring market-first deals. Our practice integrates market-leading regulatory, derivatives and tax expertise with our transactional strengths to provide clients with expert structuring and transactional advice at every stage of the deal process.

Experience

• Advised a Swiss banking institution on the first capital markets financed securitisation in Switzerland of a portfolio of fixed rate Swiss auto leases with English law governed notes being issued on the Swiss Stock Exchange
• Advised an asset-backed commercial paper conduit and its sponsor in respect of the purchase at issue of UK auto loan-backed senior floating rate notes listed on the Irish Stock Exchange
• Advised several international investment banks on the securitisation of UK auto loans and leases originated by the UK financing arm of a major European manufacturer
• Advised a major UK bank in respect of the restructuring of a Dutch auto loan, lease and hire purchase receivables securitisation originated by the Dutch arm of an auto financing affiliate of a major European manufacturer
• Advised the managers and arrangers of a multi-million securitisation of German auto loans originated by the auto financing affiliate of a major European manufacturer
• Advised a major European financial institution in respect of a securitisation of Norwegian auto loan receivables
• Acted for a major international bank in respect of structuring a conduit securitisation of domestic Swiss auto leases
• Advised a major German auto manufacturer in relation to a securitisation of its hire purchase receivables and residual values funded by an ABCP conduit
• Advised a major UK bank in respect of the restructuring of an Italian auto loan receivables securitisation originated by the Italian arm of an auto financing affiliate of a major European manufacturer
• Advised an asset-backed commercial paper conduit and its sponsor on the purchase by its conduit of US auto loan-backed variable funding notes issued by the financing vehicle of a major leasing firm
• Advised several financial institutions acting as arrangers in connection with a securitisation of lease receivables and proceeds of residual value sales
• Advised several international investment banks on a securitisation warehouse financing through a syndicate of conduits of auto retail loan contracts originated by the auto financing affiliate of a major European manufacturer.

From Megan’s Law to Bernie Madoff: A Conversation with Judge Chin

The Cadwalader Asian Pacific American Attorney Resource Group hosted a conversation with the Honorable Denny Chin, United States Circuit Judge for the Second Circuit.  During the interactive conversation, Judge Chin discussed his experiences as a federal judge and his path to the bench. Attendees had the opportunity to network and speak with Judge Chin during the cocktail reception that followed.

The Fight for Marriage Equality in the Supreme Court

The Cadwalader LGBT Network and the Gay & Lesbian Advocates & Defenders (GLAD) hosted a Pride Month event, The Fight for Marriage Equality in the Supreme Court, featuring Mary Bonauto, GLAD’s Civil Rights Project Director and Janson Wu, GLAD’s Executive Director. During the presentation Mary discussed her experience arguing before the U.S. Supreme Court for marriage equality and Janson discussed the future of the LGBT rights movement.

Justice Denied: Wards Cove Packing Co. v. Atonio

Members of the Asian American Bar Association of New York, including Cadwalader attorneys and the Honorable Denny Chin of the U.S. Court of Appeals for the Second Circuit presented a case reenactment of Wards Cove Packing Co. v. Atonio, a landmark employment discrimination case. The presentation told the story of the Wards Cove workers through narration, reenactment of court proceedings, and historic photographs. The panel was moderated by Helen Wan, author of The Partner Track, a fictional story about a young Asian-American corporate associate up for partner at her New York law firm.

WLI London Client Event: “Walking the Nile” by Levison Wood

The Women’s Leadership Initiative hosted a special evening at our London office with Levison Wood, explorer, writer, and photographer. Formerly an officer in the British Parachute Regiment, Wood has led pioneering journeys into undiscovered regions, travelling to more than 80 countries. His nine-month walk along the length of the Nile, from source to sea, is chronicled in a recent Channel 4 documentary. During the presentation Wood described the amazing people, breathtaking places and shocking sights he encountered on his ground-breaking expedition.
