Our clients include venture capital, buy-out, mezzanine and other private equity funds, both domestic and international. Most of our new client relationships are based on referrals by existing clients, or from our industry reputation for providing responsive service and solutions tailored to the specific business needs of each of our clients.
We have exceptional depth of experience and the necessary familiarity with market and regulatory norms and trends. However, we are also alert to those circumstances in which a “one size fits all” approach would be a disservice to our clients. Although our clients closely follow market terms and structures in the vast majority of cases, we also provide creative solutions when they are consistent with our clients’ business objectives. For example, we’ve helped our clients with cross-border management teams, combination management teams, financial leverage at the fund level, creation of multiple investor classes, re-opening of fundraising periods and alternative investment vehicles.
Advantaged Structures
Small Business Investment Companies and Community Reinvestment Act
Foley Hoag lawyers have represented Small Business Investment Companies (SBICs) for 30 years; and we were actively involved in the development of the Participating Securities leverage program. We offer our SBIC clients a full range of services in both the Participating Securities leverage program and the Debenture leverage program. We help our SBIC clients with fund formation, licensing, management organization, Small Business Administration (SBA) buy-outs, and portfolio investment regulatory issues. We can also provide expertise in related areas, such as non-SBIC structures that satisfy the requirements of financial institutions that are sensitive to qualification under the Community Reinvestment Act.
Transactional Practice
Our transactional experience enables us to provide you with advice that is practical and value-added , while moving your deal forward. Our firm provides a broad range of services to our private equity investor clients. For example, we’ll work with you in connection with early and later stage investments, leveraged buy-outs and leveraged recapitalizations, debt issuances, public offerings, PIPEs, mergers and acquisitions, management incentives, cross-border transactions, and tax and exit structuring.
