Greenberg Traurig's Private Funds Group is a multidisciplinary group of attorneys with the support of the broad capabilities and knowledge of our Corporate, Finance, Tax, Real Estate, and other practices. The resources of our firm enable us to offer our clients wide-ranging legal services for all facets of their private investment funds.
Our Private Funds Group counsels investment fund sponsors and investors at every stage of the fund and investment lifecycle. Our team has a thorough understanding of fund structures and securities, tax, and ERISA issues, taking into account specific kinds of investor pools, target markets, and exit strategies. We maintain critical institutional knowledge of constantly evolving trends within the domestic and global private equity markets and the private equity investment fund world. We have the ability to leverage the size and strength of our internationally recognized practices areas to assist clients both in the formation of their pooled investment vehicles and in acquiring, financing, and disposing of a myriad of portfolio investments.
Our lawyers represent clients in both the formation and ongoing operation of a range of non-registered funds, including private equity funds, debt funds, venture capital funds, real estate funds, and distressed debt and asset funds. We advise fund sponsor clients on all matters from the earliest fund structuring discussions through to capitalization, term sheet negotiations, due diligence, the private offering process, and final closing procedures. Additionally, we advise sponsors on specific fund governance matters, such as the negotiation of provisions including general partner removal, investment period suspension and advisory committee approval rights, as well as on investor relations and marketing strategy.
