Greenberg Traurig's Private Equity Practice has wide-ranging experience representing private equity firms in complex domestic and cross-border transactions in a variety of industries, including consumer products, aerospace, manufacturing, food and beverage, health care, financial services, distribution, and technology. We work regularly with regional, national, and global private equity firms advising them in connection with acquisitions, dispositions, financing transactions, and fund formation. We also assist and advise portfolio companies, management teams, co-investors, and other participants in all aspects of private equity transactions. Our focus is on serving all aspects of private equity firm legal needs, from purchase and sale transactions, as well as more broadly on portfolio company support, finance matters, fund formation, ongoing fund operation, tax analysis, and business reorganization and restructuring transactions.
Given our global presence, we have deep firm experience in a multitude of niche areas drawn upon for our PE clients.
Transactions and Experience
We advise numerous funds and sponsor groups in various stages of the investment cycle and have seen all aspects of private equity transactions. We handle matters of all kinds, including fund formation and management, platform acquisitions and add-ons, sales, dispositions, recapitalizations (including dividend recaps) and other exit transactions (including strategic mergers and IPOs), debt financing of all kinds (senior, mezzanine, high yield, etc.) and management equity, and compensation arrangements.
From the Simple to the Extremely Complex
As the competitive landscape of the private equity industry continues to evolve, our lawyers have the strategic business, legal, and market knowledge and experience required to handle both standard and straightforward transactions and also to address the increasingly complex needs and approaches seen in transactions today. We handle straightforward and simple deals for those with novel and unique structures. We also handle multiple high-growth deals, control acquisitions, growth equity minority investments, and stressed and distressed transactions where we draw upon the vast resources of our Restructuring & Bankruptcy practice.
Global Reach and Resources
While we have a historic and ongoing focus on middle market transactions, our PE lawyers also have experience in some of the largest, most sophisticated, and unique domestic and cross-border transactions that have been undertaken in the broader transactional marketplace. These transactions, both in the middle market and above, are handled seamlessly and efficiently by a combination of lawyers in our private equity practice group, together with regulatory, tax, finance, and other practices throughout our firm.
