Holland & Hart offers a multi-disciplinary practice group devoted to providing advice on all matters involving private equity and venture capital investments. Led by a team of experienced lawyers, we offer our clients a practical and comprehensive understanding of the legal needs of companies receiving private equity or venture capital investments. Our attorneys have also represented a number of venture capital and private equity funds in their formation, fund raising and investment activities. Our clients include investors and companies at all stages of development - from start-up to public companies - in industries as diverse as financial services, health care, high-tech, hospitality, manufacturing, real estate, retail and professional services.

Portfolio Company Representation
We have advised clients receiving private equity or venture capital financing on a broad spectrum of business law matters, including:

• Structuring debt and equity capital
• Traditional private placements of securities
• Public offerings of debt and equity
• Private investments in public company (PIPE) transactions
• Advice on various financing alternatives
• Introductions to potential financial sources

Mergers and Acquisitions
As companies grow, they often develop an interest in acquiring other entities or in selling their own enterprises. We have experience in the acquisition and disposition of corporations and their assets, including the negotiation of financing and security arrangements and tax-free mergers. Using our private equity and venture capital experience, we have represented buyers, sellers and financial institutions in acquisitions by private equity funds, leveraged buyout transactions, and other acquisitions by financial, as well as strategic, buyers.

Fund Formation and Investments
We have represented a large number of venture capital and private equity funds in their initial formation and fund-raising activities, as well as on-going partnership matters. Our clients have created venture capital, private equity and hedge funds focused on investments in areas as diverse as technology, oil and gas, real estate, asset backed income, state specific, and municipal bonds.

Additionally, we have represented many of these clients, and other venture capital and private equity funds, in their investments, both in other funds and in portfolio companies.

• We work closely with law school deans and placement directors in an effort to identify women and diverse law students who are interested in working at Holland & Hart.
• Holland & Hart offers medical and other benefits to partners of gay and lesbian employees on the same terms as it does to spouses of employees.
• We created an Indian Law Practice Group and actively recruited Native American law students and lateral hires.
• Each year we contribute to such scholarship funds as the Colorado Native American Indian Scholarship Fund, the Sam Cary Scholarship Endowment Fund, the Colorado Asian American Bar Scholarship Fund, the Colorado Hispanic Bar Scholarship Fund, and the Colorado Women's Bar Association Scholarship Fund.
• In partnership with the University of Idaho School of Law, we sponsor a "Law by Day, Jazz by Night" each year for undergraduate minority students who have an interest in law.
• We took a leadership role in organizing and supporting the Colorado Pledge Group's Minority First Year Law Student Summer Clerk Program. Through this program, law firms agreed to add at least one diverse first year law student to their summer clerk program.
• We were involved in the creation of the Cross-Professional Business Networking Group, where diverse attorneys in our community can meet and network with non-attorney professionals of color. We view this as a way to help diverse attorneys increase their business development possibilities.
