For over 25 years, we have represented some of the largest multiple system operators of cable television systems in the United States in connection with numerous cable television system acquisitions, sales, exchanges, joint ventures and investments throughout the 50 states.

We have also represented cable companies in transactions involving:

• providing telephony services over cable systems
• hardware and software provisioning and other technology-related transactions
• all aspects of the advertising sales business, including numerous interconnect partnerships and representation relationships
• providing communications services to apartment and other multiple dwelling complexes

Domestic Transactions

• Sales of cable television systems with aggregate values in excess of $3 billion.

• Acquisitions and exchanges of cable television systems and related assets with aggregate values in excess of $4 billion.

• Development and purchase of digital equipment, including set-top boxes and cable modems, for major entertainment services provider, including negotiating and drafting various equipment and software development and license/purchase agreements, support and maintenance agreements, manufacturing technology and software escrow agreements, and second source contracts.

• Development and license, or purchase, of HTML software engine, video-on-demand software and hardware, conditional access software, operating system software, account and billing system solutions, digital navigator (electronic program guide) software, and various other software applications for major telecommunications company.

• Formation of a top-20 cable system operator through a combination of acquisitions and partnership contributions.

• Negotiation and documentation of terms and conditions for the provision of telephony over cable facilities.

• Serve as outside general counsel for cable television IMSO's advertising sales business units.

International Transactions

• Investment in Mexican cable television business through a Mexican corporation.

• Investment in cable television business in Taiwan.

• Holland & Hart offers medical and other benefits to partners of gay and lesbian employees on the same terms as it does to spouses of employees.
• We created an Indian Law Practice Group and actively recruited Native American law students and lateral hires.
• Each year we contribute to such scholarship funds as the Colorado Native American Indian Scholarship Fund, the Sam Cary Scholarship Endowment Fund, the Colorado Asian American Bar Scholarship Fund, the Colorado Hispanic Bar Scholarship Fund, and the Colorado Women's Bar Association Scholarship Fund.
• In partnership with the University of Idaho School of Law, we sponsor a "Law by Day, Jazz by Night" each year for undergraduate minority students who have an interest in law.
• We took a leadership role in organizing and supporting the Colorado Pledge Group's Minority First Year Law Student Summer Clerk Program. Through this program, law firms agreed to add at least one diverse first year law student to their summer clerk program.
• We were involved in the creation of the Cross-Professional Business Networking Group, where diverse attorneys in our community can meet and network with non-attorney professionals of color. We view this as a way to help diverse attorneys increase their business development possibilities.
