Computer Contracts

Software and hardware license agreements are notoriously one-sided and are rife with disclaimers, exclusions and limitations. Occasionally, the customer is in a position to negotiate terms on a more project-specific basis. The Kitch firm has assisted individuals and institutions in developing revisions to license agreements to address warranty expectations, performance metrics, service standards and remedies. Whether the vendor is providing custom software, web hosting or any other service or product, we have the ability to review or draft the agreements to clarify the roles and responsibilities of all of the parties.

We have reviewed, drafted and revised various levels of agreements from software and hardware developers and value-added resellers and advised clients on the risks presented by the various contracts. We have also drafted and revised outsourcing contracts relative to information systems functions.

The Kitch firm was co-founded in Detroit in 1969 by Richard A. Kitch and Richard F. Suhrheinrich, now a Senior Federal Sixth Circuit Court of Appeals Judge.
