Loeb & Loeb’s Structured Finance and Securitization Practice regularly represents a broad range of market participants in connection with the securitization of a wide variety of assets, as well as other types of structured finance transactions, including asset-backed commercial paper (ABCP) transactions, and CBO, CDO and CLO transactions. Our clients include originators and issuers, placement agents and underwriters, asset managers, credit enhancement providers, swap counterparties, administrators, managers, servicers, and investors involved in such transactions.
Handling these issues from all sides of the table has enabled us to develop a full appreciation of the matters that are important to each of the market participants involved. These different perspectives allow us to more efficiently and effectively negotiate for our clients, resulting in a “market” transaction.
Securitization
Loeb & Loeb attorneys have been involved in numerous securitization transactions that have provided billions of dollars of financing for a wide variety of assets over the past 20 years. These transactions have spanned numerous industries and have utilized various funding options, including public offerings and private placements of securities and other financing vehicles such as commercial paper conduits. In addition, having represented many first-time issuers, our attorneys are well-equipped to understand the concerns unique to such parties and to provide the guidance necessary to make novice issuers feel comfortable with what can be a complicated transaction process.
Commercial Paper Programs
Loeb & Loeb attorneys have significant experience in the structuring of ABCP programs in both the U.S. and European markets and the financing of various types of assets, including synthetics, by such programs. Our attorneys have advised sponsors, placement agents and managers of ABCP programs. This experience allows our attorneys to satisfy the needs of all parties to these transactions, resulting in smoother and faster execution. Overall, our attorneys have been involved in more than 60 commercial paper programs and have actively advised clients in this market since the early 1990s.
CBOs, CDOs and CLOs
The attorneys in Loeb & Loeb’s Structured Finance and Securitization Practice have also been involved in numerous CBO, CDO and CLO transactions. We have advised various market participants in structuring these matters, including asset managers, placement agents, investors and issuers. Included in these transactions have been both cash flow and market value structures, as well as transactions involving synthetic structures and other types of derivatives. Post-financial crisis, as these markets have evolved, our recent work has involved CLO and CDO “repacks” initiated by program sponsors, asset managers and investors.

Recruiting and Retention
The Workplace Diversity and Inclusion Committee assists and monitors Loeb & Loeb’s ongoing efforts to promote and achieve its diversity goals, especially the goal of meaningfully increasing the representation and retention of women and minority lawyers at all levels of the firm. The committee advises firm management regarding procedures for enhancing the recruitment, retention and promotion of diverse attorneys, and provides input on ways to integrate diversity goals into everyday decision-making, policies and management practices.
Affinity Groups
Loeb & Loeb attorneys and staff members are active in four affinity groups: Attorneys of Color, LGBT, Women and Parents. These groups provide a voluntary support network designed to create a more inclusive culture, enrich the work environment, and identify solutions and strategies that help the firm recruit, develop, advance and retain talented attorneys. Through thoughtful discussion of topical issues and identification of best practices, our affinity group members are able to drive meaningful change and promote a culture of collaboration and positive action.
Mentoring
Encouraging the professional growth and development of our attorneys is an important focus at Loeb & Loeb. It is key to the success of our attorneys, our firm and our service to clients. Our mentor program provides associates with the structure and framework needed to build skill sets and develop valuable professional connections. Through both informal and formal mentoring, senior lawyers share their experience, knowledge and insight to help guide associates on the path to become future firm leaders.
Community Outreach
Our commitment to diversity is enhanced by our active involvement as members and sponsors of several organizations that support and reflect our diverse society, such as the California Minority Counsel Program and Lambda Legal. We also participate in programs that promote diversity in the legal profession, including the recently expanded Judicial Intern Opportunity Program from which the ABA Section of Litigation places law students of color and those from disadvantaged backgrounds into judicial internships.
In addition, we are a signatory of the Diversity Statement and Policies promulgated by the New York City and Los Angeles County Bar Associations. Both of these initiatives call upon law firms to hire diverse incoming classes and to maintain this diversity as associates rise in seniority and are considered for partnership.
