Venture Capital

At Loeb & Loeb, we understand the needs and challenges facing startup and high-growth companies as well as the angels, venture capital firms and strategic investors that invest in them. We combine a comprehensive knowledge of the venture capital market with a clear understanding of our clients’ vision and business objectives to provide creative solutions and practical legal advice at every stage of the business cycle.

 
Our attorneys offer a full range of services to emerging companies across a variety of industries, including digital media, entertainment, consumer brands, cleantech, financial services, life sciences, software, semiconductors and telecommunications. We counsel such companies in their formation, issuance of equity for services, seed funding, financings, intellectual property protection, human resource matters, acquisitions, dispositions, and IPOs and other public offerings. We also help emerging companies identify appropriate funding sources and assist them in initiating and developing relationships with funding partners. In addition, we often serve as outside general counsel to our clients and assist them with their day-to-day legal matters.
 
We represent venture capital and other private equity funds, and strategic and angel investors in their formation of investment vehicles, fundraising and governance activities. Much of our practice involves representing investors in all types of financings, from early or seed-stage investments through subsequent multi-investor and mezzanine financings, recapitalizations, leveraged buyouts and dispositions. We also have extensive experience representing the principal investing and merchant banking groups of investment banks, funds managed by investment banks, and strategic investors in connection with various private equity investments.
 
Our attorneys understand the venture capital process and have significant experience with the documentation involved in venture capital financings and other private equity transactions. Just as important, we understand the market and the standards by which institutional investors assess ventures, the types and terms of securities involved, and the dynamics of multi-investor groups. At Loeb & Loeb, we provide added value through educated assessments of legal risks, savvy dealmaking, and efficient and effective transactional counseling that achieves results.
 
We approach each client relationship as a partnership. We are a resource for our clients, which include numerous investors, startups, growth companies and acquisition targets. From counseling on risk assessments to getting the deals done, we collaborate with our clients throughout the investment cycle.

Recruiting and Retention
The Workplace Diversity and Inclusion Committee assists and monitors Loeb & Loeb’s ongoing efforts to promote and achieve its diversity goals, especially the goal of meaningfully increasing the representation and retention of women and minority lawyers at all levels of the firm. The committee advises firm management regarding procedures for enhancing the recruitment, retention and promotion of diverse attorneys, and provides input on ways to integrate diversity goals into everyday decision-making, policies and management practices.
Affinity Groups
Loeb & Loeb attorneys and staff members are active in four affinity groups: Attorneys of Color, LGBT, Women and Parents. These groups provide a voluntary support network designed to create a more inclusive culture, enrich the work environment, and identify solutions and strategies that help the firm recruit, develop, advance and retain talented attorneys. Through thoughtful discussion of topical issues and identification of best practices, our affinity group members are able to drive meaningful change and promote a culture of collaboration and positive action.

Mentoring
Encouraging the professional growth and development of our attorneys is an important focus at Loeb & Loeb. It is key to the success of our attorneys, our firm and our service to clients. Our mentor program provides associates with the structure and framework needed to build skill sets and develop valuable professional connections. Through both informal and formal mentoring, senior lawyers share their experience, knowledge and insight to help guide associates on the path to become future firm leaders.

Community Outreach
Our commitment to diversity is enhanced by our active involvement as members and sponsors of several organizations that support and reflect our diverse society, such as the California Minority Counsel Program and Lambda Legal. We also participate in programs that promote diversity in the legal profession, including the recently expanded Judicial Intern Opportunity Program from which the ABA Section of Litigation places law students of color and those from disadvantaged backgrounds into judicial internships.

In addition, we are a signatory of the Diversity Statement and Policies promulgated by the New York City and Los Angeles County Bar Associations. Both of these initiatives call upon law firms to hire diverse incoming classes and to maintain this diversity as associates rise in seniority and are considered for partnership.
