Nyemaster Goode represents clients engaged in all kinds of agricultural-related businesses, including farmers cooperatives, growers, processors, manufacturers, lenders, livestock operators, farm management companies, agrichemical companies, alternative energy and renewable fuel companies, and hybrid seed companies. Our Agribusiness clients include local and federated value-added cooperatives and closed cooperatives, large scale hog and dairy livestock operators, meat processors (including kosher), family farm businesses, national and international agricultural chemical manufacturers and distributors, Fortune 500 equipment manufacturers, ethanol plants, biodiesel plants, wind energy farms, and agricultural lenders.

Our Agribusiness attorneys work closely with our attorneys in other practice areas to provide comprehensive, efficient services to agribusiness clients, including Banking and Secured Transactions; Environmental; Corporate Finance, Venture Capital, and Securities; Tax, Estate Planning, and Employee Benefits; Intellectual Property; Mergers and Acquisitions; Alternative Energy, Renewable Fuels, and Public Utilities; Labor and Employment; Immigration; and Litigation.

Our Experience:


Represented international seed business generally, and in corporate reorganization and ultimate sale to European chemical and drug company.

Represented animal by-products and rendering business in all facets of its business, including acquisitions, regulatory compliance, zoning issues, real estate matters, joint ventures in the United States, Canada, Europe, and South America, and ultimate sale for $140 million.

Represent national agricultural chemical company in regional and international distribution, supply, sales, toll manufacturing, private label, antitrust, commercial contract, credit and finance, litigation, and workers’ compensation matters.

Represent international company headquartered in Iowa in acquisitions and sales of businesses, contracting for purchases, and sale of products and services, as well as joint ventures.

Represent swine genetics company in connection with outside investment, acquisitions, and operations.

Represent kosher and non-kosher meat processors in all aspects of operations, including regulatory and food safety compliance, supply contracts, sales and distribution agreements, banking and finance, environmental, acquisitions, business organization and corporate governance issues, and tax matters.

Advise and represent agricultural commodity growers of pharmaceutical or genetically modified crops with respect to production and supply agreements, governmental regulatory compliance, and import/export regulatory compliance.

Represented numerous agricultural cooperatives in mergers, acquisitions, joint ventures, contracts, and raising equity capital.

Assist numerous family farm businesses with corporate farming law compliance, business organization selection, banking and finance, tax, succession planning, and estate planning matters.

Represent promoter of agricultural and livestock-related businesses in connection with organizational and financing matters, including private placements of debt and equity securities totaling approximately $50 million.

Represent community-based 501 cooperative in organizational and financing matters, including private placement of securities and corn delivery agreements.

Represent agricultural lending groups in multi-million dollar credit facilities for livestock production operations.

Represent agribusiness industrial facility in negotiating agreements with city government regarding use and financing of wastewater treatment plant.
