Technology Transactions

Our attorneys counsel clients and provide strategic advice on a broad array of technology transactions. In addition to licensing and technology transfer, we draft and negotiate other important technology agreements on behalf of our clients, such as research and development, strategic alliance, marketing, private label and co-branding agreements.

We also have deep expertise in sales and distribution agreements, and customer, reseller, VAR, OEM and sales representative agreements. With respect to software and other applications, we provide advice and guidance regarding end user licenses, support and maintenance, hosting, escrow, open source and software as a service (SAAS). We also advise clients regarding website privacy policies, terms of use and backbone agreements for Internet and e-commerce businesses.

We also provide startups and other companies with confidentiality and nondisclosure agreements, employment agreements, independent contractor agreements and invention assignment agreements.
