The Italian practice team represents Italian companies doing business in the U.S., and U.S. companies doing business in Italy, in capital markets transactions, mergers and acquisitions and other corporate transactions. The team offers specialized experience in dealing with issues confronting Italian companies and the Italian market, and includes lawyers and legal assistants who speak English and Italian fluently.
Capital Markets
The Italian practice team has extensive experience in capital market transactions involving Italy and Italian companies, including equity offerings, convertible debt offerings and private placement transactions (including under Rule 144A and Regulation S). The Italian practice team has acted as counsel in offerings of Italian regions, municipalities and companies covering a broad gamut of industries and sectors, including air transport, banking, fashion groups and retailers, household products, internet portals, luxury goods and media. We have counseled Italian clients in connection with their reporting, listing and public company obligations under the U.S. federal securities laws.
Mergers and Acquisitions
The Italian team is experienced in cross-border mergers and acquisition transactions involving Italy and Italian companies, including privately-owned and public company acquisitions, mergers, tender offers and going-private transactions. The team is experienced in providing tax planning advice as well as arranging and negotiating public and private financing in connection with such transactions.
Other Corporate Representation
The team’s experience also includes advising clients with respect to general corporate and company representation matters, including entertainment, regulatory, commercial law, competition and antitrust, environmental, litigation, project finance and corporate governance matters.

Four of the Firm's nine Office Administrative Partners are women, one of whom is African-American and another is multi-racial.
