Taft's Business & Finance group includes more than 100 attorneys who provide legal services to public, private and non-profit clients in a wide variety of industries. Members of the group represent clients of different sizes, from emerging companies to Fortune 500 companies, on issues ranging from local matters to transactions with national and international implications.

Our Business & Finance attorneys draw upon their extensive legal knowledge, transactional experience and creativity to understand client needs and objectives and to provide solutions to client issues. Group members aim to develop strong relationships with clients and become trusted advisors.

Attorneys in Taft’s Business & Finance group provide a broad array of services, such as:

  • Represent clients in the purchase and sale of businesses.
  • Work with clients on tax exempt and taxable financing.
  • Provide banks and other financial institutions, as well as businesses and individuals, with advice on structuring credit transactions, preparing and negotiating the appropriate documentation, administering relationships and solving problem credits.
  • Advise clients on transactions involving asset-based credit facilities, including taxable revenue bonds, asset securitizations and project finance.
  • Represent private equity and venture capital funds, private equity and venture-backed companies, and the general partners and managers of private equity and venture capital funds.
  • Represent emerging growth companies, including venture and private equity-backed businesses, in connection with capital formation transactions, equity and debt financings, joint ventures, technology licensing and a variety of general corporate and business matters.
  • Counsel clients on the structuring of public and private securities offerings and of merger and acquisition, reorganization, tender offer, going dark and going private transactions.
  • Assist both issuers and underwriters in satisfying both the regulatory requirements of federal and state law and the practical requirements involved in completing public offerings of securities registered under the Securities Act of 1933.
  • Provide ongoing advice to our public, private and nonprofit clients on all aspects of corporate governance, disclosure and Sarbanes-Oxley.
  • Represent clients in all aspects of the government contract procurement process, including contract formation, performance and administration, payment and dispute resolution.
  • Advise franchisors, franchisees, manufacturers and distributors on the many issues presented by the franchise or non-franchise distribution relationship.
  • Assist developers and/or local governments with tax incentives to promote development.
