Commercial Lending and Finance

Watkins & Eager provides sophisticated, professional, and cost-effective legal counsel to institutional lenders in multiple areas, such as secured and unsecured corporate credit facilities, asset-based financing transactions, and other complex banking transactions. Our lawyers have extensive experience in the following areas: local counsel representation of lenders in large, multi-state loan transactions; single-lender and multi-lender financings and nationally syndicated credit arrangements; loan participations; corporate lending to middle market companies for working capital; and nontraditional financing. We assist clients throughout all stages of the transaction process, from the initial development of the structure for the transaction to the negotiation, documentation, and closing of the loan, as well as in the administration of the credit facilities.


The firm is also experienced in specialized areas of financing, such as derivatives (interest rate swaps), aircraft finance, vessel finance, leasing transactions, and loans structured as bond financing. We regularly advise clients on issues such as usury, disclosure, loan modifications or workouts, title insurance matters, and third-party legal opinions. Our commercial lending and finance lawyers work collaboratively with other lawyers in the firm, including those in our tax, public finance, tax credit, environmental, healthcare, and real estate practice areas, in advising our clients on the many issues that commonly arise in financing transactions.
