Whiteman Osterman & Hanna’s Private Equity and Venture Capital Practice regularly represents investors and start-up and emerging growth companies in the structuring, negotiation and closing of all types of debt and equity investments.

Our clients include private equity groups, venture capital firms and other types of investors. We also represent companies receiving financing across a broad spectrum of industries.

INVESTORS

By working closely with our investor clients and staying up to date on ever-changing market terms of venture capital investments, we are able to negotiate, document and successfully close transactions quickly. We can also efficiently assist with or manage due diligence investigations of target companies. We are comfortable with all types of investments from simple bridge loans to later stage investments with multiple classes of investors requiring careful coordination. Following an investment, investors often call upon us for advice with respect to their responsibilities as board members, to structure follow-on investments and to develop and implement exit strategies.

START-UP AND EMERGING GROWTH COMPANIES

As company counsel, we offer cost-effective and responsive service and seek to add value with practical advice throughout any financing process whether it is an investment of seed capital from angel investors or the sale of a controlling interest. In addition to debt and equity financing matters, our experience in advising start-ups and emerging growth companies also includes review and development of business plans, intellectual property protection, tax advice and assistance with day-to-day corporate governance matters. Attorneys from Whiteman Osterman & Hanna’s other practice areas are also used to working with early stage companies and can assist with a full range of corporate services, including mergers and acquisitions, labor and employment matters, real estate, environmental matters and litigation.
