Wilson Elser attorneys have experience representing boards of directors, board committees and senior management with respect to their day-to-day operations and long-term strategic planning. 

At all stages of corporate development – from formation through change of control and, ultimately, liquidation and dissolution – we provide our clients with sound and timely counsel. Our practice attorneys have experience drafting corporate governance documents and advising owners, directors, managers and officers with regard to their legal obligations to the corporation and its owners, employees and creditors.

We also advise on executive and director compensation matters; codes of conduct and business ethics implementation; strategies to avoid and ameliorate potential conflicts of interest, including fairness analyses and fair process counseling; regulatory investigation and derivative litigation management; director and officer errors and omissions coverage; and other governance issues.

Client engagements include counseling on regulatory “best practices” and state and federal regulatory compliance. Our varied and complex experience, coupled with a practical, business-oriented approach to problem solving, allow our attorneys to effectively guide client businesses.
