Corporate Takeover Litigation

Wolf Haldenstein is dedicated to protecting individual and institutional investors, including public pension funds, Taft-Hartley funds and health and welfare benefit funds from corporate wrongdoing by challenging the terms of corporate takeovers. Wolf Haldenstein’s efforts in opposing certain mergers & acquisitions resulted in billions of dollars of increased value for company shareholders, injunctive relief and much needed corporate governance changes.

Wolf Haldenstein attorneys have prosecuted actions challenging numerous highly publicized corporate transactions which violated shareholder rights by failing to undergo fair processes and provide fair prices, and the applicability of the business judgment rule against some of the countries largest corporations. The Firm has also prosecuted cases alleging corporate waste, shareholder voting rights claims, and excessive executive compensation and obtaining significant monetary recoveries and injunctive relief for our clients.
