We specialize in representing businesses and individuals in the following ways:

Business Advice. In our capacity as general counsel to our business clients, we advise them regarding all aspects of creation, day-to-day business operations and relationships with employees, customers, suppliers and distributors.

Estate Planning. We assist individuals and business owners passing wealth to succeeding generations, both during their life and upon their death.

We handle all aspects of estate planning, including the use of Wills, Lifetime Gifting Programs, Revocable Living Trusts, Family Limited Partnerships, Family Limited Liability Companies and other methodologies utilizing discounts and probate-avoidance techniques, where appropriate.

We assist and facilitate Family Business Succession Planning affecting succeeding generations and/or employees.

We handle probates and all aspects of post-mortem disposition of decedents' assets.

Real Estate. Our firm represents clients in all aspects of real estate transactions, including commercial and residential transactions.

Entity and Tax Planning. We maintain pro-active involvement with clients to assist them in the most tax-effective method of operation. This includes tax planning in the selection and operation of corporations, limited liability companies and other limited liability entities.

A crucial part of this function is making sure corporate documents comport with how the business is operating.

Each corporation we represent receives an annual questionnaire well before the scheduled Annual Meetings of Shareholders and Directors. Based on our client's responses, we then either attend the meeting and/or prepare annual minutes and other corporate documents as needed.

We design and implement qualified retirement plans as well as non-qualified retirement compensation, management and employee incentive plans.

Business Dispositions and Acquisitions. Many times, family businesses are sold rather than passed on to succeeding generations and/or employees. Our firm has been active in representing both sellers and buyers of family businesses. We are attuned to representing family businesses being acquired by larger foreign or domestic purchasers.

Both partners are admitted to practice law in Washington as well as Oregon. This permits our firm to be actively involved in Washington matters for our clients.
