Biography

A partner and the chair of the Corporate, Finance and Real Estate department, Rex Veal represents investors in CMBS and CDOs and servicers in the servicing-related aspects of structured finance transactions, as well as the purchase and sale of servicing rights.

Mr. Veal has experience in the restructuring, pooling and servicing of non-performing financial assets. He also has substantial experience representing investors in both initial and secondary market transactions as well as terminating securitization trusts. Prior to entering private practice, he held a number of senior positions with the Federal Deposit Insurance Corporation (FDIC) and the Resolution Trust Corporation (RTC), including Associate General Counsel for the FDIC and Special Counsel (General Counsel) to the RTC. Mr. Veal is active in industry groups including the Commercial Mortgage Securities Association and speaks frequently on the servicing aspects of structured finance transactions and the recovery of troubled assets.

Selected Experience

· Represents CMBS investors with respect to acquisitions, sales, due diligence and structuring including "B-piece" acquisitions.

· Represents collateral sellers and collateral administrators in CRE CDO transactions.

· Represents master and special servicers in the negotiation and acquisition of servicing contracts.

· Represents lenders, master servicers and special servicers in assumptions, modifications, workouts and restructures in both REMIC and conventional circumstances.

· Represents lenders, master servicers special servicers and successor borrowers with respect to defeasance of commercial mortgage loans.

· Represents investors and servicers in the termination of REMICs and grantor trusts.
