Mergers and Acquisitions

When a company is contemplating a merger, acquisition, divestiture or joint venture, such undertaking requires careful planning and analysis. M&A counsel plays a crucial role in performing that analysis and completing the transaction in a way that advances the client's business objectives, but also protects its interests.

The DeCotiis Firm has experience handling business transactions of all types, including joint ventures, mergers, asset purchases, stock purchases and divestitures. Its attorneys have handled virtually every type of merger (including forward, reverse and triangular), stock transactions and asset transactions, including tax free reorganizations (of all types), taxable transactions and Internal Revenue Code Section 338(h)(10) elections. DeCotiis attorneys have requested private letter rulings from the Internal Revenue Service in particularly complex transactions.

In addition, DeCotiis has the legal depth and diversity of practice areas to assist the client regarding legal issues that routinely present themselves in M&A transactions, such as environmental advice and due diligence, labor negotiations, employment agreements, and real property transactions.
