David Phillips has over 25 years of experience advising corporations and underwriters on corporate finance and securities law matters. Most recently, that includes almost all of the new generation of cross-border income trusts - Eagle Energy Trust, Argent Energy Trust and others. He also acted for the underwriters in 1997 on the then largest initial public offering in Canadian history - Westshore Terminals Income Fund. Overall, David has been the lead lawyer for the issuer or the underwriters on financings that have collectively raised more than $9 billion.
He also advises public corporations and boards of directors on mergers and acquisitions, corporate governance, stock option and other compensation plans, securities commission filings and dealings with stock exchanges, plus other matters.
David is a regular speaker at securities conferences and other events and a lecturer for the Directors Education Program of the Institute of Corporate Directors. He is a past chairman of the South Alberta Business Law Subsection of the Canadian Bar Association and has been a director of a number of public companies. Current community involvement includes serving on the major donor cabinet of the United Way of Calgary and as president of the Polar Peak Lodges strata council in Fernie, British Columbia. An insatiable appetite for travel has led David and his family to over 50 countries on six continents, including for a full year in the early 2000s.

• Final Disclosure Rules Regarding Women on Boards and in Senior Management

TSX-listed companies will almost certainly need to include disclosure in their information circulars or annual information forms on the representation of women on their boards and in senior management for the 2015 proxy season.
On October 15, 2014 the securities regulatory authorities in a number of Canadian jurisdictions announced final amendments to National Instrument 58-101 Disclosure of Corporate Governance Practices and Form 58-101F1 Corporate Governance Disclosure. Participating jurisdictions include Ontario and Quebec. Notable by their absence were Alberta and British Columbia.
